- Definitions and Interpretation
“Company” refers to Air Brake Direct Ltd. “Buyer” or “Customer” refers to any business or trade purchaser. “Goods” means any products supplied by the Company. These Terms apply exclusively to commercial transactions.
- General
These Terms govern all contracts for the sale of Goods by the Company and override any other terms proposed by the Buyer. No variation shall be binding unless agreed in writing by the Company. The Contracts (Rights of Third Parties) Act 1999 does not apply.
- Orders
An order constitutes an offer by the Buyer to purchase Goods. A binding contract is formed only when the Company confirms the order in writing or dispatches the Goods. The Buyer is responsible for ensuring that all specifications and information supplied are accurate.
- Product Information and Branding
All descriptions, specifications, and images are provided for guidance only. Images are illustrative. Goods supplied may differ in brand, packaging, or appearance from those shown but shall conform to OEM or equivalent specifications. Manufacturer names and part numbers are used for identification purposes only.
- Prices
Prices are quoted in GBP exclusive of VAT unless stated otherwise. Prices may be amended prior to order confirmation. Published price lists are indicative only.
- Payment Terms
Unless otherwise agreed in writing, payment is due in full prior to dispatch. The Company reserves the right to charge statutory interest on overdue accounts under the Late Payment of Commercial Debts (Interest) Act 1998.
- Delivery
Delivery dates are estimates only and time shall not be of the essence. Risk passes to the Buyer upon delivery. Failure to accept delivery may result in storage or cancellation charges.
- Title and Risk
Ownership of Goods remains with the Company until full payment is received in cleared funds. The Buyer may not pledge or charge Goods prior to title passing.
- Inspection and Returns
The Buyer must inspect Goods upon delivery and notify the Company of any shortages, damage, or incorrect supply within 48 hours. Returns are accepted only with prior authorisation and may be subject to a handling charge.
- Warranty
Goods are supplied with a limited warranty covering manufacturing defects for [X] months from delivery. The warranty excludes incorrect installation, misuse, modification, or normal wear and tear.
- Limitation of Liability
The Company’s total liability shall be limited to the price paid for the Goods giving rise to the claim.
- Exclusion of Consequential Loss
The Company shall not be liable for any indirect or consequential loss, including loss of profit, loss of business, downtime, labour costs, or damage to other equipment, whether arising from incorrect or faulty Goods.
- Force Majeure
Neither party shall be liable for failure or delay due to events beyond their reasonable control.
- Website Use
Website content is provided for general information only and may be changed without notice. Use of any information on this website is at the Buyer’s own risk.
- Intellectual Property
All content, design, and layout of this website remain the intellectual property of the Company. Unauthorised use is prohibited.
- Privacy and Cookies
Personal data is processed in accordance with UK GDPR. Cookies are used for website functionality and user experience. No payment card details are stored.
- Governing Law and Jurisdiction
These Terms shall be governed by and interpreted in accordance with the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction.
